Terms of Use

01Acceptance of these terms

These Terms of Use (the “Terms”) form an agreement between you and Ihor Herasymovych, an independent developer based in Portugal (tax ID / NIF 316371424) (“we”, “us”), governing your use of the VTT macOS application and related website (together, the “Service”). By downloading, installing, or using VTT, you agree to these Terms. If you do not agree, do not use the Service.

If you obtained VTT through the Apple App Store, Apple’s Licensed Application End User License Agreement also applies, and where it conflicts with these Terms for App Store distribution, Apple’s terms control.

02License

Subject to these Terms, we grant you a personal, non-exclusive, non-transferable, revocable license to download and use VTT on Apple-branded devices you own or control, for your personal or internal business use. You may not sell, rent, sublicense, or redistribute the app except as permitted by the platform it was obtained from.

03Acceptable use

You agree not to:

• use VTT to record or transcribe anyone without the consent required by applicable law;
• use the Service for unlawful, infringing, or harmful purposes;
• reverse engineer, decompile, or attempt to extract source code, except to the extent the law expressly permits; or
• interfere with or circumvent the security or intended operation of the Service.

You are solely responsible for the content you dictate and for complying with recording-consent and privacy laws in your jurisdiction.

04Third-party services & API keys

VTT can connect to optional third-party transcription providers (such as Deepgram, OpenAI, and ElevenLabs) using API keys that you supply. Your use of those providers is governed by your own agreements with them, and you are responsible for any usage, fees, limits, and compliance associated with your accounts and keys. We are not responsible for third-party services, their availability, accuracy, or their handling of your data.

05Intellectual property

VTT, its name, logo, and software are owned by us and protected by applicable laws. These Terms grant you a license to use the app, not any ownership rights. All content you create using VTT (your transcripts) belongs to you.

06Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. We do not warrant that transcription will be accurate, uninterrupted, or error-free. You use VTT at your own risk.

07Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. Our total liability for any claim relating to the Service will not exceed the amount you paid for VTT in the twelve months before the claim (which may be zero).

08Changes & termination

We may modify, suspend, or discontinue the Service, and may update these Terms, at any time. Material changes to the Terms will be posted at this URL with an updated date. You may stop using VTT at any time. We may terminate or suspend your license if you breach these Terms. Sections that by their nature should survive termination (including ownership, disclaimers, and liability limits) will survive.

09Governing law & disputes

These Terms are governed by the laws of Portugal, without regard to its conflict-of-laws rules, except where mandatory consumer-protection laws of your country of residence apply. Nothing in these Terms limits any non-waivable statutory rights you may have as a consumer.

If you are a consumer in the European Union, you may also submit disputes to the European Commission’s Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
